Terms and Conditions of Service

These Terms and Conditions ("Terms") govern the use of the Zenty Online platform, including its website and mobile applications. This document constitutes a legally binding agreement between you, the User, and Zenty Online (Pty) Ltd. By accessing, registering, or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and our Refund Policy.

  1. Definitions

    1. "Agreement" means these Terms and Conditions, the Privacy Policy, and the Refund Policy collectively.
    2. "CPA" means the Consumer Protection Act 68 of 2008.
    3. "ECTA" means the Electronic Communications and Transactions Act 25 of 2002.
    4. "HPCSA" means the Health Professions Council of South Africa.
    5. "NHA" means the National Health Act 61 of 2003.
    6. "Patient" means a User who requests and receives Healthcare Services via the Platform.
    7. "Platform" means the Zenty Online website, mobile applications, and any associated technology or services owned and operated by Zenty Online (Pty) Ltd.
    8. "POPIA" means the Protection of Personal Information Act 4 of 2013.
    9. "Service Provider" means an independent, duly registered healthcare professional (such as a medical doctor, nurse, or therapist) who is registered on the Platform to offer Healthcare Services to Patients.
    10. "Healthcare Services" or "Services" means the medical, nursing, therapeutic, or other health-related services provided by a Service Provider to a Patient, which are facilitated by the Platform.
    11. "User""you", or "your" refers to any person who accesses or uses the Platform, including Patients and Service Providers.
    12. "Zenty Online""we""us", or "our" means Zenty Online (Pty) Ltd (Registration Number: [Your Company Registration Number]), a private company duly registered in the Republic of South Africa.
  2. Acceptance and Scope of Agreement

    1. By creating an account, booking a service, or otherwise using the Platform, you confirm that you have read, understood, and unconditionally agree to be bound by this Agreement. If you do not agree to these Terms, you must immediately cease all use of the Platform.
    2. This Agreement applies to all Users of the Platform within the Republic of South Africa.
    3. We reserve the right to amend these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Platform or via email. Your continued use of the Platform after such notification constitutes your acceptance of the amended Terms.
  3. Nature of the Zenty Online Platform

    1. Zenty Online provides a technology platform that acts as an intermediary to connect Patients seeking Healthcare Services with independent Service Providers who are available to provide such services, primarily through house calls.
    2. IMPORTANT NOTICE: Zenty Online is not a healthcare provider, a medical practice, a hospital, or an emergency service. We do not employ the Service Providers, nor do we provide medical advice, diagnosis, or treatment. The Service Providers are independent contractors who are solely responsible for the quality, safety, and legality of the Healthcare Services they provide.
    3. The professional-patient relationship is established exclusively between the Patient and the Service Provider. Zenty Online is not a party to that relationship. Our role is limited to facilitating the connection, managing bookings, and processing payments on behalf of the Service Providers.
  4. User Registration and Obligations

    1. To use certain features of the Platform, you must register for an account. You warrant that all information provided during registration is true, accurate, current, and complete.
    2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.
    3. Patient Obligations: As a Patient, you agree to provide accurate and complete medical history and information to the Service Provider to facilitate a safe and effective consultation. You acknowledge that withholding information may adversely affect the quality of care you receive.
    4. Service Provider Obligations: As a Service Provider, you warrant that you are, and will remain, duly registered and in good standing with the HPCSA and any other relevant professional body. You agree to provide Healthcare Services in accordance with the highest professional and ethical standards, and to maintain adequate professional indemnity insurance.
  5. Service Bookings, Payments, and Commission

    1. Patients may book Healthcare Services through the Platform. All bookings are subject to the availability of Service Providers.
    2. Payment for all Services must be made through the Platform's designated payment gateway at the time of booking.
    3. Commission and Revenue Model: Zenty Online acts as a limited payment collection agent for the Service Provider. The total fee paid by the Patient is for the Healthcare Services rendered by the Service Provider. Zenty Online shall retain a five percent (5%) commission from this fee as its charge for facilitating the connection, managing the booking, and providing the platform services. The remaining ninety-five percent (95%) of the fee shall be remitted to the Service Provider.
    4. All cancellations and requests for refunds are governed by our Refund Policy, which forms an integral part of this Agreement.
  6. Disclaimers and Limitation of Liability

    1. In accordance with the CPA and common law, this clause limits our risk and liability.
    2. Disclaimer of Medical Liability: Zenty Online makes no warranties or representations regarding the skill, quality of care, advice, or treatment provided by any Service Provider. Any claim, dispute, or complaint arising from the Healthcare Services must be directed to the Service Provider concerned. You hereby indemnify and hold Zenty Online harmless against any claims related to medical malpractice, negligence, or any other issue arising from the Healthcare Services provided.
    3. Platform "As Is": The Platform is provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free, or secure.
    4. Limitation of Liability: To the fullest extent permitted by law, Zenty Online's total liability to you for any and all claims arising from the use of the Platform (other than for gross negligence or wilful misconduct on our part) shall be limited to the total commission fees paid by you for the specific service giving rise to the claim. We shall not be liable for any indirect, incidental, special, or consequential damages.
  7. Intellectual Property

    1. All content, trademarks, logos, software, and other intellectual property associated with the Platform are the exclusive property of Zenty Online (Pty) Ltd or its licensors. You may not use, copy, reproduce, or distribute any part of the Platform without our prior written consent.
  8. Privacy and Confidentiality

    1. Your privacy is of paramount importance to us. The collection, use, and protection of your Personal Information are governed by our Privacy Policy, which is incorporated by reference into these Terms.
    2. By accepting these Terms, you provide your express consent to the processing of your Personal Information, including Special Personal Information (health data), as described in the Privacy Policy and for the purpose of facilitating the Healthcare Services.
  9. Termination and Suspension

    1. We may, in our sole discretion, suspend or terminate your access to the Platform at any time and without notice for any reason, including but not limited to a breach of this Agreement.
    2. You may terminate your account at any time by following the instructions on the Platform or by contacting our support team.
  10. Dispute Resolution

    1. Should any dispute arise between you and Zenty Online, you agree to first attempt to resolve the dispute amicably by contacting our support team.
    2. If the dispute cannot be resolved within thirty (30) days, the matter may be referred to mediation or arbitration, or pursued in a competent court of law as stipulated in Clause 11.
  11. Governing Law and Jurisdiction

    1. This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa.
    2. You consent to the exclusive jurisdiction of the High Court of South Africa, Gauteng Division, Pretoria, for any legal proceedings arising out of this Agreement.
  12. General Provisions

    1. Entire Agreement: This Agreement constitutes the entire agreement between you and Zenty Online concerning the subject matter hereof.
    2. Severability: If any provision of this Agreement is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will remain in full force and effect.
    3. No Waiver: Our failure to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
